Our client, a leading international top-tier private equity fund is looking to hire an Associate to join its investment structuring team (IST). The IST sits at the heart of the business and is responsible for the opening and closing of all investments across the fund’s platform. As an Associate you would be liaising with the investment, deals, operations and finance teams on a daily basis to ensure that all aspects of the investment process are completed to a high level, allowing you to gain some fantastic commercial exposure. The business is growing and has recently completed a number of new transactions, making it a very exciting time to join. This role will immediately become an integral member of the IST, reporting into a very impressive UK head. This is a fantastic opportunity for an individual with a legal background and experience within the private markets to become part of an industry-leading team.

RESPONSIBILITIES:
  • Lead the execution of all investment types alongside the fund’s investment team
  • Negotiate all legal documents governing the fund’s transactions including term sheets, SPAs, LPAs, shareholder agreements, side letters and other ancillary documentation
  • Lead the setup of debt facilities with the treasury team
  • Execute sales of fund interests (on a portfolio and single-fund basis)
  • Structure investments to accommodate the tax characteristics of all participating clients and work with the investment team and external advisors
  • Set up special purpose vehicles
  • Coordinate all aspects of the investment closing process

YOUR PROFILE:
  • Prior experience of negotiating SPAs, LPAs and closing investments
  • Legal background and qualification, with experience within the private markets
  • Highly organised with strong project management skills and exceptional responsiveness
  • High level of professionalism, confidentiality, discretion and judgement
  • Excellent communication skills, both written and verbal
  • PC literacy, including excellent working knowledge of Microsoft applications
  • Ability to work to tight deadlines / under pressure
