Part-Time Paralegal / Company Secretary, High-Performing Family Office, London, UK

Our client, a high-performing family office are looking to hire a Part-Time Paralegal / Company Secretary to join their London team. The family office – which is headquartered in Dubai are currently going through a growth phase and are now looking to expand their operation by hiring an experienced London based legal professional. Within the role you will immediately be awarded a high-level of responsibility whilst working closely with the wider team. The role will predominately cover three main areas; legal administration, compliance and company secretarial.

The role will allow flexibility on the structure of the working week, with the option for the time to be split between your home and the office.

RESPONSIBILITIES

  • Prepare and review NDAs / Confidentiality Agreements
  • Review and maintain all contractual agreements entered into by the company including with investee companies, suppliers, shareholders.
  • Assist and maintain all insurance policies of the company
  • Review and brief the team on all investment materials (subscription agreements, commitment agreements, applications, loan agreements, LP agreements, shareholder agreements)
  • Liaise with the company’s / shareholder’s lawyers in relation to all legal agreements (planning, leases, service agreements, employment contracts, consultancy agreements)
  • Conduct legal research and drafting as requested
  • Ensuring that required governance of all meetings, general meetings, annual general meetings is adhered to (notice, producing agendas, taking minutes, conveying decisions, handling meeting correspondence)
  • Maintaining a library of certified corporate documents for each entity (Certificate of Incorporation, Register of Directors, Register of Members, Memo & Articles, Certificate of Incumbency etc.)
  • Maintaining up to date KYC for shareholders/directors (certified utility bills, passports etc.)
  • Reviewing ‘know your counter party’ documentation and liaising with external advisers where checks are required.
  • Manage relationships with regulators including responding to regulatory questions, surveys, circulars.
  • Monitoring all regulatory filings for investee companies and liaising with relevant administrators / counsel to ensure these are processed on a timely basis (annual registrations, annual returns, licence renewals, director’s renewals, fee payments).
  • Successfully complete special projects and other assignments as requested

PROFILE

  • Previous experience of working within the investment sector
  • Ability to work well as part of a small team
  • International experience would be advantageous
  • Ability to communicate effectively with a variety of outsourced providers
