About our client

Our client is a fast growing, leading European consulting and technology services company. With the recent backing by one of the leading German mid-market PE Funds, they have now entered the next phase in fulfilling their vision to become the leading holistic technology partner serving their customers with a true-end-to-end offering. M&A forms a central part of these growth plans.

Hence, they are looking to build out the M&A capability of the group and are looking for an M&A Manager who will manage the M&A process from target identification to deal closing. 

As the M&A team is mostly working remote, the position will be located either in Switzerland or Germany.

What the job involves

  • Manage the M&A processes end-to-end, from identification of a target, the initial appraisal (including financials), term sheet negotiation, and due diligence (LDD, FDD, TDD) process management, to support in negotiations and the closing process
  • Draft scopes for due diligence advisors and work closely with them due diligence teams to identify areas of risk 
  • Report key issues, deliver recommendations and prepare final due diligence report summaries of all findings, including recommendations for contract structuring and financing 
  • Draft NBOs, term sheets, and board approval documents, and assist in negotiating purchase agreements and other transaction documents 
  • Work closely with all involved internal and external functions to ensure seamless execution of the closing process 
  • Business development / origination input into and help shape development of M&A strategy and help professionalize the overall M&A function 
  • Conduct market, company, and competitive analyses 
  • Identify, approach, and engage directly with founders and management teams of target businesses 
  • Build and maintain a deal pipeline in collaboration with the Executive Board 

Who we are looking for

  • Several years of professional experience in M&A / corporate finance, e.g., in investment banking, private equity, or in corporate M&A (preferably in buy & builds)
  • Work as principal investor (for in-house corporate M&A team or financial investor) a strong plus 
  • Demonstrated first track record of executing transactions from origination to closing, managing financial, tax, and legal due diligence processes and valuation 
  • Successful completion of a bachelor’s or master’s degree with a business, technical, or scientific background from a renowned university or business school 
  • Valued personal traits include a self-starting mentality, humility, and social competence, as you will interact with a wide range of people, from the local entrepreneur of a 10-person firm to nationwide firms with private equity owners
  • Business-fluent English skills (spoken and written), proficiency with Microsoft Word, Excel, and PowerPoint 
  • Experience in the IT Services sector is a plus, but not required
